Terms of Service
1. Who we are
These Terms govern the Coganu AI desktop software, the web demo and related updates and support (the "Service") provided by Traffic R&D (representative: Jongwoo Hahn; "we", "us").
2. Definitions
- "User" means the individual or organisation that accepts these Terms and uses the Service.
- "Subscription" means the paid right to use the Service for a set period.
- "Seat" means one PC on which the software is registered under a Subscription.
- "Customer Data" means structures, sequences, assay values, queries, results and other data the User enters into or produces with the Service.
- "Merchant of Record" means Paddle.com or Polar Software, Inc., which process card payments and international invoices as the legal seller.
3. Changes to these Terms
We publish these Terms on our website. We announce changes at least 7 days before they take effect (30 days for changes unfavourable to Users) and also notify paying Users by email. Price changes follow section 9. If you do not agree to a change you may cancel your Subscription.
4. Accounts
You sign up with an email address or an external account (such as Google). Provide accurate information, do not share your account, and tell us promptly if it is compromised.
Deleting your account: you can delete your account at any time from the account section of our website (or by email if you cannot sign in). If a paid subscription period remains, you can choose: (1) delete at period end (default) — keep using the remaining period, you are not charged again, and your account is deleted when the subscription ends (you can cancel this before then); or (2) delete now — your account is deleted and the subscription cancelled immediately, and the unused period is refunded pro rata under our Refund Policy (within 7 days of your first payment, the amount for the compute time you have not yet used; otherwise the remaining-period fee minus 10% of it). Either way, licences on registered PCs are revoked. If you have an active institutional contract or an unpaid invoice, please contact us so we can settle it.
5. The Service
- The web demo lets you try key features on public data free of charge; scope and usage may be limited.
- The desktop software is installed on as many PCs as your Seats allow, and computation runs on your PC.
- We may provide model updates and public-data refreshes; their content and timing are at our discretion.
6. Research Use Only
The Service is for research use only. It is not a medical device and must not be used for diagnosis, treatment or prevention decisions, individual patient care or medical advice. We provide a software licence for researchers only: we do not sell or ship drugs, chemicals, samples or any physical goods, do not recommend particular medicines, and the Service is not offered to patients. Predictions and analyses are reference material for researchers. We do not guarantee their accuracy or the success of any research or development programme. Experimental design, interpretation and regulatory decisions remain your responsibility.
7. Payment and Merchant of Record
- Prices and inclusions are as shown on our pricing page.
- Orders paid with Paddle: our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
- Orders paid with Polar: Polar Software, Inc. acts as Merchant of Record and handles payment, tax and receipts.
- Purchases through a Merchant of Record are also subject to its buyer terms and refund policy. Where they differ from these Terms or our Refund Policy, whichever is more favourable to you applies.
- Extra-time packs: if your monthly compute time runs short you may buy a one-off pack attached to your Subscription (50% of your plan's monthly time, one per billing cycle, usable only in that cycle). Nothing is charged automatically by usage; a pack is charged to your saved payment method only when you choose to buy it. Refunds follow section 2a of the Refund Policy. Compute time is a usage allowance for running the software's features on your own PC; we do not sell cloud computing resources or credits.
- Domestic (Korean) institutional contracts are made directly with us by quotation, contract, electronic tax invoice and bank transfer.
- We never receive or store your card number or other payment-method details.
8. Free desktop demo
- The free desktop demo starts when you sign in and lets you use the features open in the demo within 1 minute of compute time (each task is charged per the table on System Requirements). 3D docking is limited to 2 runs, separately from compute time, and runs only on the example receptors included in the app.
- The demo has no time limit; it ends when its allowance is used up. It is limited to one demo per person or organisation. Creating multiple accounts to repeat the demo may lead to the demo being refused or the account suspended.
- The demo does not take a payment method and never converts to a paid subscription automatically. You are charged only when you start a subscription yourself.
- If you end the Service within 7 days of your first payment, we refund the amount for the compute time you have not yet used. Monthly compute time is digital content that can be divided into units of time, so time already used has been supplied and is not subject to withdrawal (Korean E-Commerce Act, Article 17(2)(5), proviso). We show this basis before payment and ask you to agree to it (Article 17(6)); without a record of that agreement we do not deduct used time and refund in full. Later refunds follow our Refund Policy.
9. Automatic renewal, cancellation and price changes
- Monthly subscriptions renew automatically each month until cancelled. You can cancel online at any time through the Merchant of Record's customer portal linked in your receipt. To avoid the next charge, cancel at least 24 hours before the renewal date.
- After cancelling you keep access until the end of the period you have paid for (no refund, since you use that period). If you want to end immediately instead, we refund the amount after deducting the fee for the period used and 10% of the remaining-period fee, which covers payment-processing fees and other costs caused by early termination (see the Refund Policy).
- Institutional annual contracts run for the period stated on the contract or invoice. For international invoiced contracts we send a renewal notice about 30 days before expiry, after which the Merchant of Record issues the next year's invoice; tell us before expiry if you do not wish to renew. Domestic direct contracts do not renew automatically.
- Price changes: we give 30 days' notice by email and on our website, and new prices apply from your next renewal after that notice. Annual contract prices are fixed for the contract term. If you do not accept a new price you may cancel before it applies.
10. Failed and late payments
- If a card payment fails, the Merchant of Record retries for a period during which access continues. If payment still fails, the Subscription is suspended or cancelled; access is restored once payment succeeds.
- Institutional invoices are payable in the invoiced currency by the due date on the invoice (30 days from the invoice date if none is stated).
- Overdue amounts bear late-payment interest from the day after the due date until paid, unless the contract provides otherwise: for international invoices, 1.5% per month or the maximum rate permitted by applicable law, whichever is lower; for Korean public-sector contracts, the rate set by the contract statutes that apply to that body (e.g. Article 59 of the Enforcement Decree of the Act on Contracts to Which the State Is a Party); for other Korean contracts, 6% per year (Article 54 of the Korean Commercial Act).
- If an invoice is more than 30 days overdue we may, after notice, suspend the Seats under that contract, and we restore them promptly once the overdue amount is paid.
11. Taxes
- For card payments, VAT or sales tax is calculated by the Merchant of Record according to your location, shown at checkout and collected by it.
- Institutional invoice and contract amounts exclude taxes unless stated otherwise.
- If you are required by law to withhold tax, you will gross up the payment so that we (or the Merchant of Record) receive the full invoiced amount; we will adjust accordingly on receipt of a withholding certificate.
12. Payment disputes and chargebacks
If there is a problem with a payment, please contact us or the Merchant of Record before disputing it with your card issuer. When the Merchant of Record notifies us that a chargeback has been approved, we cancel the Subscription and revoke its Seats and PC registrations if the payment was a subscription payment, or remove that pack's time if it was an extra-time pack. If an unjustified chargeback on a valid transaction causes us costs, we may charge those costs to you.
13. Seats and licence
- One Seat is one registered PC; a PC shared by several people counts once. Registered PCs may not exceed the Seats in your Subscription or contract.
- Online PCs renew their registration every 30 days; offline PCs every 90 days.
- Seats added during a contract term are charged pro rata for the remaining term and co-terminate with the existing contract.
- We grant you a non-exclusive, non-transferable right to use the Service during your Subscription. No ownership of the software is transferred.
- Who can use Basic and Plus: Basic and Plus are for researchers affiliated with universities and public or non-profit research institutions. Work done as part of a for-profit company (including start-ups and contract research organisations) and research commissioned by a for-profit company require Pro or above. You confirm this eligibility yourself before paying and must move to Pro or above if it changes. Reports made with Basic or Plus carry this licence notice; removing or hiding it breaches these Terms. If we find use that does not meet these conditions, we may, after notice, ask you to move to Pro or above or suspend the Service.
- Non-profit pricing is for non-commercial research at universities, government research institutes, public bodies and non-profit hospitals only. It may not be used for contract research for companies. Please cite the tool when publishing results.
13A. Use through automated clients and AI agents
- Definition. An “automated client” means any application, script, bot, command-line tool, AI agent, integration or other system selected and operated by you that invokes this software without a person operating it directly, including calls made through the local tool connections the software provides (the MCP server and the local API).
- Responsibility. You are solely responsible for selecting, configuring, operating and maintaining every automated client. You are responsible for all calls made through an automated client and for their results, whether or not those calls were intended, authorised or initiated automatically.
- Limits. We may apply limits on call frequency, concurrent execution and consecutive failures to automated clients, separately from the limits that apply to a person using the screen, and we may change those values. These limits are a safeguard against runaway automation, not a billing unit. The values currently in force are shown in the software.
- Prohibited. You must not bypass or disable these limits or the usage counters, and you must not systematically harvest service results by automated means.
- No liability for agent actions. We are not responsible for any action taken, or not taken, by an automated client. Where an automated client sends the results it receives is determined by the client you chose, not by us.
- Research-use restriction still applies. The research-use restriction in clause 6 applies equally to use through an automated client. Each response carries its applicability statement and the research-use notice, and you remain responsible for use outside that range.
14. Prohibited use
- Sharing licence files, request codes or activation keys, or transferring them to other PCs or organisations
- Exceeding your Seats by cloning virtual machines or disk images
- Manipulating system time, reverse engineering or tampering to avoid licence checks
- Bulk-harvesting outputs to train a competing model
- Any use that breaks the law, infringes third-party rights, or violates export controls or sanctions
15. Customer Data
- You own your Customer Data.
- The desktop software does not send Customer Data off your PC. Account traffic for sign-in, licensing and updates, and processed error reports, carry no Customer Data. The only exception is a reproduction input you choose, item by item, to attach to an error; it is used only to reproduce and fix that error and deleted after the fix (at most 30 days). See Diagnostics in the Privacy Policy.
- Web-demo inputs are not stored after the result is returned. Do not enter confidential research data into the web demo.
- We do not use Customer Data to train our models.
16. Outputs and intellectual property
You may use outputs you create with the Service in publications, patent filings and reports to your clients. The software, models, documentation and trademarks belong to us or our licensors. Public datasets and third-party components included in the Service are subject to their own licences.
17. Support, availability and changes to the Service
- We provide technical support by email (support@coganu.com) on business days. Response times and server availability are not contractually committed (no SLA) unless agreed in a separate contract.
- If core features are unavailable for more than 3 consecutive days due to our fault, we extend your term or refund pro rata for that period. This is your remedy for service outages; please request it within 30 days after the outage ends.
- We may change features to improve the Service. We give advance notice of changes that materially disadvantage paying Users, who may then cancel and request a pro-rata refund of the remaining term.
- If we discontinue the Service or terminate your contract for reasons other than your breach, we give 30 days' notice and refund the unused paid period pro rata.
18. Warranty disclaimer and limitation of liability
To the extent permitted by law, the Service is provided "as is" without warranties of fitness for a particular purpose or accuracy of results. Except for our wilful misconduct or gross negligence, we are not liable for indirect, special or consequential damages, lost profits or lost data, and our total liability is limited to the amount you paid for the Service in the 12 months before the claim arose. This limit does not apply to damage caused by our wilful misconduct or gross negligence, death or personal injury, or any liability that cannot be limited by law. Nothing in these Terms limits rights that consumers have under applicable law.
19. Suspension and termination
If you materially breach these Terms we may, after asking you to remedy the breach, suspend or terminate your use of the Service. We may act immediately where the breach is clear and causes serious harm. No refund is given for the remaining term when we terminate for your breach.
20. Governing law
These Terms are governed by the laws of the Republic of Korea. Disputes are first resolved by discussion and otherwise by the competent court under the Korean Civil Procedure Act.
If you are a consumer, this choice of law does not deprive you of the protection of the mandatory consumer laws of your country of residence, and you may bring proceedings in the courts of your country of residence where the law of that country allows it. Consumers in Korea may bring proceedings in the district court for their address (Korean E-Commerce Act, Article 36).
